Terms of Service

Effective date: August 12, 2026

1. Acceptance of Terms

By creating an account or using Exact Prospect, you agree to these legally binding Terms. Electronic acceptance constitutes a binding agreement.

2. Services Provided

Exact Prospect sells verified consumer and business audience records, delivered as CSV exports, drawn from our national identity graph. What you get:

• Subscription and one-off credit packs that convert into delivered records
• An audience builder to define and size a target list before you buy
• Real-time record hygiene (address, email, phone validation)
• Optional phone append on delivered records
• API and webhook access on qualifying plans
• Credit balance, usage ledger, and CSV export tools

Exact Prospect does not send email, SMS, or any other message on your behalf. We deliver data. What you do with it, including any marketing you run using it, is entirely on you and is governed by Section 6 below.

We reserve the right to modify features at any time.

3. Account Registration

You agree to provide accurate information. You are responsible for all activity under your account.

4. Billing & Subscription Terms

A. Plans

• Monthly and yearly subscriptions available, each with a fixed monthly record allowance.
• One-off credit packs are available for instant bulk export and never expire.
• Plans renew automatically on the anniversary date.

B. Authorization

By subscribing, you authorize recurring charges to your payment method until cancellation.

C. Cancellation

You must cancel inside your dashboard prior to your next billing date. Failure to cancel before renewal results in automatic charge.

D. No Proration

We do not prorate partial subscription periods.

E. Non-Use

Failure to use the service does not relieve payment obligations.

F. Credits and delivery

A record credit is charged only when a record is delivered to you as verified. Records already owned by you can be re-downloaded at no additional charge. Records that hard-bounce after delivery are refunded automatically as credits under the terms of our Refund Policy.

5. Refund Policy

All subscription and pack payments are final and non-refundable, except the hard-bounce guarantee described in our Refund Policy and except at our sole discretion for cases like a duplicate charge or verified fraud. Suspension for abuse, termination for violation, or general dissatisfaction does not qualify for refund.

6. Acceptable Use

Records licensed through Exact Prospect are for your own marketing use. You agree not to:

• Resell, sublicense, redistribute, or otherwise pass on raw records to a third party
• Represent our data as your own proprietary dataset
• Use records to violate CAN-SPAM, TCPA, GDPR, CASL, or any other applicable law
• Use records for stalking, harassment, or any unlawful purpose
• Attempt to scrape, bulk-export beyond your licensed allowance, or circumvent delivery pacing

If you use delivered records to send email, text, or any other outreach, compliance with the laws governing that outreach (including CAN-SPAM and TCPA) is entirely your responsibility. We are a data supplier, not a party to how you use the data.

We monitor for abuse and may suspend or terminate access without notice. Termination for violation results in immediate access revocation, forfeiture of remaining subscription time, and no refund eligibility.

7. Data Accuracy Disclaimer

Records, appended fields, and any scoring or enrichment are provided "AS IS." We do not guarantee:

• Accuracy
• Completeness
• Fitness for any particular purpose

You assume all risk in using delivered data. Hard-bounce records are handled under the guarantee in our Refund Policy; beyond that guarantee, use of the data is at your own risk.

8. Suspension & Termination

We may suspend or terminate accounts:

• Without notice
• For legal risk
• For chargebacks
• For abuse, including reselling or redistributing licensed records

Accounts terminated for violation forfeit all remaining time and payments.

9. Chargebacks

You agree to contact support before initiating any dispute. Unauthorized charge claims after legitimate subscription authorization may result in permanent account ban. Filing a chargeback without first contacting support may constitute breach of agreement.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the total amount paid by you in the 12 months preceding the claim. We are not liable for:

• Lost profits
• Business interruption
• Outcomes from your use of delivered records, including outreach results
• Data accuracy beyond the hard-bounce guarantee
• Third-party service failures

11. Indemnification

You agree to indemnify and hold harmless Exact Prospect, LLC and its affiliates from any claims arising from:

• Your use of delivered records
• Any outreach, marketing, or contact you make using our data
• Violation of law
• Unauthorized resale or redistribution of records
• Regulatory investigations tied to your use of the data

12. Arbitration & Class Action Waiver

All disputes shall be resolved by binding arbitration in Wyoming. You waive any right to:

• Jury trial
• Class action participation

Arbitration shall be individual only.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming.

14. Force Majeure

We are not liable for delays due to events beyond our control, including outages, third-party provider failure, or regulatory action.

15. Electronic Communications

You consent to receive notices via email.

16. Entire Agreement

These Terms constitute the entire agreement between you and Exact Prospect, LLC.
